These Terms of Service (“Terms”) govern all orders, project engagements, and commercial transactions between Omar Diaz Writing (the trading name of Omar Santiago Diaz Hernandez — Entrepreneur Individuel) and its clients. By placing an order or confirming a project engagement, you agree to be bound by these Terms.

2. Scope of Services

Omar Diaz Writing provides the following professional B2B services, registered under APE code 7430Z:

All services are delivered exclusively in digital format. No physical goods are produced or shipped.

3. Orders and Contract Formation

A binding contract is formed when both parties have exchanged written confirmation of the project scope, delivery timeline, and agreed fee by email. No verbal or implied commitments are binding.

Omar Diaz Writing reserves the right to decline an order where fulfilment would conflict with applicable law or where the request falls outside the registered scope of activity.

4. Delivery Timeframes

All deliverables are transmitted electronically to the email address provided by the client. If a deadline cannot be met, the client is notified in advance with a revised timeline.

5. Pricing, Invoicing and Payment

5.1 PRICING

All prices are stated in euros (EUR, €). Prices are agreed in writing before work commences. No additional fees are charged without prior written agreement.

TVA non applicable — Article 293 B du Code Général des Impôts. VAT is not applied to any invoice unless expressly stated.

5.2 INVOICING

An invoice is issued upon delivery of the completed work. The invoice is sent electronically to the client’s email address and includes full business details, a description of the services delivered, the agreed amount, and bank transfer details.

5.3 PAYMENT TERMS

Payment is due within 14 calendar days of the invoice date. Payment is made by bank transfer to the account details stated on the invoice. No advance payment is required. Work commences upon written order confirmation, not upon payment.

5.4 LATE PAYMENT

In the event of non-payment after the 14-day payment period, Omar Diaz Writing reserves the right to suspend delivery of any outstanding work and to apply late payment interest in accordance with applicable French commercial law (Article L.441-10 of the Code de commerce).

6. Satisfaction Guarantee and Refunds

Omar Diaz Writing offers a 14-day satisfaction guarantee on all completed work. If a delivered service does not meet the agreed brief, the client may request a full refund within 14 calendar days of the delivery date by contacting info@omardiazwriting.online.

Where a refund is approved, any outstanding invoice for the relevant service is cancelled in full. If payment has already been made, a full refund is issued by bank transfer within 14 calendar days of the approved refund request. Full details are set out in our Refund Policy.

7. Revisions

One round of revisions is included with every service. Revisions must be requested within 14 calendar days of delivery and must relate to the original agreed brief. Additional revision rounds beyond the first are quoted separately.

8. Intellectual Property

8.1 OWNERSHIP OF DELIVERABLES

Upon receipt of full payment, the client receives full ownership of all deliverables produced specifically for their project. Prior to full payment, all rights remain with Omar Diaz Hernandez.

8.2 CLIENT-PROVIDED MATERIALS

The client warrants that all source materials provided to Omar Diaz Writing are owned by the client or that the client holds all necessary rights to use them. The client indemnifies Omar Diaz Writing against any third-party intellectual property claims arising from client-provided materials.

8.3 PORTFOLIO USE

Omar Diaz Writing may reference completed projects in anonymised form for portfolio or promotional purposes, unless the client has expressly requested confidentiality in writing.

9. Confidentiality

Omar Diaz Writing treats all client documents, briefs, and business information as strictly confidential. This information is used solely for the purpose of delivering the agreed service and is not disclosed to any third party without the client’s prior written consent, except where required by law. This obligation survives the termination of the engagement for a period of three years.

10. Limitation of Liability

To the fullest extent permitted by applicable law, the total liability of Omar Diaz Writing to a client in connection with any project shall not exceed the total fees paid for that specific project.

Omar Diaz Writing shall not be liable for indirect, consequential, or incidental losses, including loss of profit, loss of business opportunity, or reputational damage arising from the use of delivered work.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

11. Cancellation

Either party may cancel a project before delivery by providing written notice. If work has already commenced, Omar Diaz Writing will invoice for the proportion of work completed at the point of cancellation. If no work has commenced, no fee is due.

12. Governing Law

These Terms are governed by French law. Any dispute that cannot be resolved by mutual agreement shall be submitted to the competent courts of Paris, France. EU-resident clients retain the right to bring proceedings in their country of habitual residence under applicable EU consumer and business protection law.
